USEEK GIRLS TRIP PROMOTION OFFICIAL RULES AND TERMS OR SERVICE

NO PURCHASE IS NECESSARY TO ENTER OR WIN. MUST BE 18 YEARS OF AGE OR OLDER. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY.  VOID WHERE PROHIBITED. 

Sponsor (the "Sponsor"):  The Contest Promotion (the “Promotion”) is administered and sponsored by U•Seek Inc. [1005 Baker Ave., STE F, Whitefish, MT 59937] ("Sponsor" or “U•Seek”).

Prize Partner (the "Prize Partner"): This promotion is not sponsored or endorsed by, Visa, Facebook, Twitter and/or any 3rd party websites and ad networks where the embedded player may live.

Promotion Period:  The Promotion begins on May 24th, 2017 at 12:00 PM Pacific Time ("PST") and ends at 11:59 PM PST on July 21st, 2017 (the "Promotion Period").  Sponsor's computer is the official time-keeping device for this Promotion.

No Cost:  The Promotion is free to play and enter. No purchase, OR entry fee necessary to enter or win.  The U•Seek player works on mobile devices, tablets and desktop. If you participate in the Promotion via a mobile device, message and data rates may apply in accordance with your mobile device plan terms and conditions.

Eligibility:  Promotion is open to (i) all legal residents of the United States and District of Columbia (ii) who are eighteen (18) years or older and have reached the age of majority in their jurisdiction of residence at the time they enter the Promotion (an “Entrant,” or collectively, “Entrants”).  Employees, officers, and directors (including immediate family members and members of the same household) of Sponsor, Prize Partners, Facebook or their affiliated companies, parent companies, subsidiaries, and advertising and promotion agencies, and any other entities associated with this Promotion (collectively, “Released Parties”), are also not eligible to participate.  Sponsor, in its sole discretion, shall determine the eligibility of Entrants, the time of entry, and whether entries qualify.

Enter by watching, looking for, and clicking on the objects hidden in the Girls Trip gamified trailer. Once you complete the video you will be prompted to enter your email address or login via Facebook. You must enter your email address or sign up via Facebook to store your points for your chance to win. Registration is free.  On participating websites, navigate to and play the gamified trailer titled “Girls Trip” (the “Video”).  The goal of the gamified video is to find hidden objects within it.  Visual descriptions of the hidden objects may be found below the video within the Seek Bar during play. When an object is found and clicked on, a green circle will appear and a corresponding check mark in the Seek Bar.   If the object is missed it turns red and an “X” will appear in the Seek Bar. Entrants must complete the video to be entered in the Promotion.

Once you have completed the video be sure to sign up so your points are saved. Your information will be stored thus not requiring you to enter your email again if playing within the same site, browser and computer. If you play the game on a different site, browser or computer you will need to reenter your email address. REMEMBER TO USE THE SAME EMAIL ADDRESS EACH TIME YOU PLAY IF PROMPTED as your point total will be assigned to that specific email address. Your point total can be viewed by clicking on the “your rank” button on the game end screen.

You can earn additional points by replaying the Girls Trip gamified trailer.  The registered user with the most points by the end of the Promotion Period will win the grand prize $250.00 Visa Gift Card.

Additional points may also be earned by sharing the gamified video via Email, Twitter or Facebook. Once you enter your email address, you will be prompted to share the game by simply clicking on one of the three share options. You will immediately be awarded the share points upon clicking on one of the share options. If you do not follow through with the share by posting it on your profile page we will deem this as cheating and remove all of your points earned via the sharing function.

Multiple entrants are not permitted to share the same email address. Any attempt by any Entrant to obtain more than the stated number of plays/points by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that Entrant's plays/points and that Entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the Entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

Winner Notification:  There will be (1) one grand prize winner (the “Grand Prize Winner”) for the $250 Visa Gift Card.   The Grand Prize Winner will be selected by the amount of total points collected at the end of the promotion. The user with the most points will be deemed the Grand Prize Winner and will be notified on or around July 22nd, 2017 (or within 5 Days of this date).  The Sponsors and/or Prize Partners will notify the Grand Prize Winner by email following the end of the Promotion Period.  Sponsor and Prize Partners are not responsible for any delay or failure to receive notification for any reason, including inactive account(s), technical difficulties associated therewith, or the Grand Prize Winner’s failure to adequately monitor any account.  Should the Grand Prize Winner fail to respond, Sponsor reserves the right to disqualify that Grand Prize Winner and select another top scorer to obtain the prize.   

Tie: In case there is a tie, the Prize package will go to the winner who accurately found and clicked on the highest total number of hidden items from all the gamified video plays.

Odds:  Odds of winning depend on your skill level to play the gamified video game, accumulate points and time of entry.

Prizes: There will be one grand prize given which includes:

One (1) $250.00 Visa gift card. The winner will be the user with the most points earned by the end of the promotion period. The user may earn points by playing and replaying the game and/or sharing it via Facebook, Twitter, or email. A user is only permitted to share the game up to 10 times after each game play before having to watch and play the gamified trailer again. The user must find and click on at least one hidden item for the share buttons to become active again.

Prize Conditions: Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by Sponsor, who reserves the right to substitute a prize with another prize of equal or greater value if the stated prize is not available for any reason as determined by Sponsor in its sole discretion. Winner is responsible for any applicable fees, surcharges, service charges associated with receipt or use of a prize. Winner is fully responsible for all applicable taxes (including income and withholding taxes). For prizes with a value of $600 or more, Sponsor will issue winner an IRS Form 1099-MISC.

By accepting the Prize, Winner agrees to release Sponsor, Comcast, Universal City Studios, LLLP, NBC Universal, Universal Studios, Universal Pictures, Universal Pictures International, Will Packer Productions, Girls Trip the film, its cast, filmmakers, crew, their parent companies and the Released Parties from any and all liability whatsoever for any injuries, illnesses, death, losses, or damages of any kind caused by entering the Promotion or for damages of any kind caused by any prize or resulting from acceptance, possession, or use/misuse of prize awarded.  No substitution or transfer of Prize or election of cash in lieu of Prize will be permitted.  The Sponsor reserves the right at its sole discretion to substitute Prize with that of another of equal or greater value in the event that the Prize (or any component thereof) is not available.  No refund or compensation will be made in the event of the cancellation, postponement or delay of any kind. Winner’s companions must be of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age or older as of the date of screening and must attend the screening at the same time as the winner). In some instances The Winner will also be required to disclose his/her social security number for the purpose of issuance of a 1099 Form for tax purposes.  By participating in the Promotion, each Entrant gives Sponsor permission to collect and use his or her name, likeness, email, address and biographical information without further information where permitted by law.  Winner will be required to sign an affidavit of eligibility, liability release and a publicity release within ten (10) days of issuance.  By accepting Prize, Winner allows Sponsor to use his or her name, photograph, prize information, and biographical information for publicity and promotional purposes without further compensation where permitted by law.  

Terms & Conditions: This Promotion is subject to all applicable federal, state, and local laws.  By entering the Promotion, Entrants agree to release, discharge, indemnify and hold harmless Sponsor, Comcast, Universal City Studios, LLLP, NBC Universal, Universal Studios, Universal Pictures, Universal Pictures International, Will Packer Productions, Girls Trip the film, its cast, filmmakers, crew, their parent companies, and each of their respective directors, officers, employees, shareholders and agents from any and all liability, loss, damage or injuries to any person (including death) or property of any kind sustained in connection with their participation in the Promotion, resulting from travel, from their acceptance, receipt, possession and/or use or misuse of the Prize, or for any typographical or other error in the printing, offering or announcement of the Prize.  Entrant acknowledges that the Promotion is in no way sponsored, endorsed, administered by or associated with any hosting 3rd party sites, ad platforms, ad networks, Google, or parent companies of the Sponsor or Prize Partners. WINNER MUST BE AWARE THAT USE OF THE TRAVEL PRIZE CAN BE HAZARDOUS AND CAN PRESENT UNUSUAL RISKS OF DEATH, SERIOUS ILLNESS AND INJURY, AND PROPERTY DAMAGE.  WINNER PARTICIPATES IN USE OF THE PRIZE WITH KNOWLEDGE OF THE DANGER INVOLVED AND AGREES TO ACCEPT ANY AND ALL RISKS OF DEATH, SERIOUS ILLNESS AND INJURY, AND PROPERTY DAMAGE. 

Use of Data: Sponsor will collect personal data in the form of the user’s e-mail address provided upon entry in accordance with its Privacy Policy.  Entrants may review Sponsor's Privacy Policy at the following link: https://www.useek.com/privacy.  By participating in the Promotion and providing this information, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

Internet Limitations of Liability: Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Promotion in whole or in part, at any time, without notice.  Sponsor reserves the right to award Prize using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable.  Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries.  Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Promotion or the downloading of any materials in this Promotion.  CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Choice of Law; Venue: This Promotion and the rights and obligations of Sponsor and participants will be governed by and controlled by the laws of the State of California, applicable to contracts made and performed therein without reference to the applicable choice of law provisions.  Any and all disputes, claims, and causes of action arising out of or connected with the Promotion, or any benefits received, or the administration of the Promotion not resolved through internal adjudication shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, to take place in the State of California pursuant to the Rules of the American Arbitration Association, then effective, (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Promotion and in no event shall Entrant by entitled to receive attorneys’ fees or other legal costs; and (3) under no circumstances will a participant be permitted to obtain awards for and participants hereby waive all right to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

Disqualification or Point Reductions: A user may have their account terminated or points reduced if we determine or discover the use of any type of automated system such as a bot to generate clicks, shares or plays. If you do not accept all of the terms and conditions in this agreement, please do not use our website, mobile app or the U•Seek service. We provide the website, mobile app and U•Seek service for your personal non-commercial use only.

By using the website, the app or the U•Seek service, you are representing and warranting that: (a) you are a legal resident of the United States, (b) you are either (1) at or above the legal age of majority in your jurisdiction of residence (c) you own or have sufficient authorization to use the computer, device, technology or other device you use to access the website, app or services, and (d) you will access and use the services in accordance with this agreement.

Certain services or features may be governed by additional terms presented in conjunction with those products or services. For example, if we offer a coupon, promotional code, grand prize game, drawing, sweepstakes or similar promotional event, there may be additional rules governing them. By accessing or using any of those services or features, you agree that you will be bound by the additional terms relating to those services or features.

LOYALTY TERMS AND CONDITIONS

1. PROGRAM OVERVIEW

Welcome to U•Seek! These terms and conditions govern the U•Seek Program. The Program allows you to get points and rewards every time you perform a qualifying action using the U•Seek service. You can use these points and rewards for goods and services or to obtain other rewards.

Please take a moment to review these Program Terms and Conditions carefully. By using the U•Seek service, you agree to be bound by these Program terms and conditions, the U•Seek Terms of Use and the U•Seek Privacy Policy. 2. ELIGIBILITY

All legal residents of the United States (including Puerto Rico) who are at least 18 years of age are eligible to participate in the Program. Unless the program is released explicitly for those under the age of 18 {U•Seek KIDS} In order to participate in the Program, you should enroll with a valid email address or Facebook account and maintain an active U•Seek account.

An individual person may only have one U•Seek account. If we have a reasonable belief that multiple U•Seek accounts are registered to the same individual, we may suspend or terminate any duplicate U•Seek accounts, and also suspend or terminate your participation in the Program. In addition, only one individual person may be registered to a U•Seek account.

An individual may use his or her account on up to five devices, but an individual may only be logged into one device at a time.

Employees of U•Seek and its affiliates and partners, and each of their immediate family members and individuals living in the same households of each of these individuals, are eligible to participate in the Program, but these individuals may not participate in any sweepstakes, grand prize drawings or instant wins offered through the Program. We reserve the right to determine whether any particular user is eligible to participate in the Program.

3. ENROLLING IN THE PROGRAM

To enroll in the Program, please access the U•Seek.com microsite hosting the Girls Trip gamified trailer. After doing so, you can register for a U•Seek account by providing a valid email address or facebook account. For app users, when applicable you will need to also enter your name, birthdate and password in order to open your U•Seek account.

By enrolling in the Program, you agree that you will keep your user name and password secure and confidential and keep your U•Seek account information updated and accurate and that you will notify us immediately of any unauthorized use of your U•Seek account. We will deem any activity occurring through your U•Seek account to be your actions, and you agree that we may rely upon such actions.

Other than the third party processing fees that may be applicable to redeeming certain Rewards, the purchase of third party goods to receive a discount, or otherwise disclosed to you, there are no fees to enroll or participate in the Program, though we reserve the right to charge fees in the future for use of the U•Seek service.

4. Accumulating Rewards or Points

After enrolling, you can start getting points by completing actions that allow you to qualify for rewards or points, subject to the contest promotion rules. These actions may include:

  • Clicking on a hidden object within the videos
  • Sharing the videos
  • Redeeming a coupon or promotional code
  • Referring new users
  • Viewing and playing qualifying games
  • Referring new users to the Program
  • Completing certain actions in social media
  • Completing other actions that we may make available from time to time, such as redeeming rewards, entering grand prize games, or other promotional opportunities developed by U•Seek.
  • Redeeming a reward
  • Participating in the giveback programs

We may also place limits on rewards/points from time to time in our sole and absolute discretion. For example, we may place limits on rewards/points you may accumulate in a day, or we may place limits on the number of times you may accumulate rewards/points for performing the same engagement.

You may only receive rewards or points by participating in official U•Seek games such as those hosted on useek.com or on the U•Seek application.

We reserve the right to determine, in our sole discretion, whether a particular action qualifies for points. We also reserve the right to offer different users of the U•Seek service different quantities of rewards/points for the same qualifying action. We also offer certain point-earning opportunities, instant win prizes, offers or rewards to certain users without offering them to all users. For example, we may offer certain users particular rewards based on their gaming history, their location or the rewards they have chosen in the past.

Rewards/Points that are validly obtained will generally post to your U•Seek account within several hours of a qualifying action, but in some cases it may take longer. You can view the points balance in your account and your redemption activity by signing in to your U•Seek account.

Rewards/Points obtained or accumulated are and will at all times remain our property. Points have no cash or other value, except to obtain rewards. You may not sell, purchase or transfer rewards/points or your U•Seek account. Rewards/Points will automatically be forfeited in U•Seek accounts that are terminated or cancelled.

When you place a point redemption order, your U•Seek account will be reduced by the number of points used to acquire the reward. If your reward order is cancelled due to an issue with redeeming the reward (such as the reward becoming unavailable), we will reinstate your points and notify you of the cancelled order.

When you redeem a reward, that reward will become immediately inactive and no longer a part of your rewards total.

We may also reduce your point total in certain circumstances based on your actions. For instance, we may reduce your point balance if you call our customer service line in excess of a certain number of times.

All unredeemed rewards/points will expire if your U•Seek account is dormant for twelve (12) consecutive months, that is, that no qualifying action has been taken. Additionally, rewards/points need to be redeemed within twelve (12) months from when they were obtained or they may be forfeited. We reserve the right to issue certain rewards/points that will have an earlier or shorter expiration date. The rewards/points balance in your U•Seek account will be forfeited if your U•Seek account is terminated for any reason. We may also remove rewards/points from your account to correct errors. You may not be provided with notice of expiration, forfeiture or removal of rewards/points. You are not entitled to compensation from us or from any other entity, when the rewards/points in your U•Seek account expire, if they are removed from your account, if your account is terminated, or if they are forfeited for any reason.

5. MEMBERSHIP

We may establish membership tiers. We may, for example, establish membership tiers based on the total annual reward usage, give back usage or point earnings in your U•Seek account during a calendar year. Different membership tiers may, for example, give members the opportunity to obtain additional rewards/points, obtain exclusive games and obtain exclusive features, rewards or prizes.

We need the flexibility to change our program to provide the best experience for our users. Accordingly, if we establish membership tiers, we reserve the right to change the membership tiers, the number of rewards/points required to obtain membership tiers, or terminate the membership tiers at any time, in our sole discretion. In addition, we may determine the benefits to which a particular membership tier may be entitled, and may change those benefits, in our sole discretion.

6. REWARDS

Please note: “Rewards” are not applicable to U•Seek Girls Trip Promotion.

You may redeem your coupons at participating vendors. Our grand prize rewards will be awarded based upon the rules of the specific game of which they are attached to.

A particular reward may be subject to specific terms and conditions, such as the expiration date of the Reward, the purchase or other requirements to use or deliver the Reward, any return policy requirements and any warranties for the reward, or any other limitations or restrictions on obtaining, retaining or using the reward. Neither we nor the merchant providing the reward will be liable if a reward expires prior to redemption for the reward or its use. You and the merchant providing the reward are responsible for compliance with all laws related to redeeming and receiving the reward, including the payment and collection of any applicable federal, state, or local taxes. In addition, in order to redeem a particular reward, you may have to accept a particular merchant’s terms and conditions

The aggregate value of the rewards {Non-Coupon based} (not including any prizes you may win in sweepstakes, contests or in instant win games) that any individual user of our service may receive during a calendar year is limited to U.S. $600. We may, in our sole and absolute discretion, waive the $6000 limit for a user, but if we do so, the user agrees that he or she will provide a W-9 and such other information as U•Seek may request.

We may deliver rewards to you electronically (i.e., through the email address associated with your account) or by mail. The delivery time may vary. Rewards will not be shipped to any address outside of the United States.

Any redemption of a reward is final. All non-merchandise rewards (such as gift cards and certificates) cannot be returned. Merchandise rewards may not be exchanged or refunded once a merchant has delivered the reward, unless it is defective or has been damaged in transit. Merchants, and not U•Seek, are ultimately responsible for replacing any defective or damaged rewards. Refunds, exchanges and other issues relating to the reward are governed by the merchant’s terms and conditions applicable to the purchase. Redeemed rewards are not refundable, exchangeable, or transferable for cash, credit, other rewards or points. Neither we nor our participating merchants are responsible for replacing lost, stolen, or mutilated rewards, including retail or travel certificates, gift certificates, gift cards, or merchandise. You may not redeem points for rewards if your account has been suspended or terminated for any reason.

We reserve the right to offer rewards through or transfer rewards to other promotional incentive programs offered by U•Seek and its affiliates or partners.

7. COMMUNICATIONS

We may communicate with you regarding any matter related to the Program by email or by other electronic communications, including postings at the Program website. All electronic communications to you sent from us, or on our behalf, will be deemed to be communications “in writing” and will be deemed delivered to you no later than the earlier of the date actually received or five (5) days from the date of posting or dissemination. You agree that by participating in the Program we may use your mobile device to contact you about your account and to provide promotional and other offers. You are responsible for any charges assessed by your mobile carrier for communications made by us to your mobile device or other device.

8. CUSTOMER SERVICE

If you have a problem or question regarding your account, please contact Customer Service at support@useek.com.

If you contact us regarding an error or mistake with respect to your account, we will use reasonable efforts to investigate and correct the error or mistake. In any event, you must notify us within thirty (30) days of the posting date or the date of the alleged error or mistake in order for us to undertake an investigation of the matter.

All questions or disputes regarding the Program, including eligibility, rewards, obtaining rewards/points, membership tiers, or redemption of coupons/rewards, redemption of points for rewards, will be resolved by us in our sole discretion.

9. CHANGES TO THE PROGRAM

We may modify, restrict or change the Program and/or these Program Terms at any time, which changes may include, but are not limited to, changing the terms of eligibility and enrollment, the number of points obtained for a particular action, available rewards, amount of the reward, membership tiers, the type and selection of rewards, or the conditions under which rewards/points expire or are forfeited. We will endeavor to notify you of material changes to the Program and Program Terms and, unless you choose to terminate your Program participation, you will be bound by the revised Program Terms. Notification of material changes may be done through the email address you have provided to us, SMS or MMS messaging to the registered mobile device (which SMS or MMS message may direct you to a website for the changed Program Terms), updates to the Mobile App pushed to your mobile device, posting such changes on the Program website, or by any other appropriate method, as we may determine. We also reserve the right to suspend or terminate the Program at any time, in our sole discretion, without liability or compensation to you.

10. ERROR PREVENTION AND OTHER ADJUSTMENTS

Occasionally we may review the validity of your account, your qualifying actions, and your compliance with these Program Terms. In addition we may, but are not required to, review your point balance to confirm if any errors have been made in the calculation of your point balance. Based on any such review or if we otherwise deem necessary (for example, if we believe there have been non-qualifying actions), we may authorize an adjustment to the points balance in your account and/or membership tier. These adjustments can be positive or negative. Details on adjustments can be found on the Program website. You are responsible for periodically verifying the accuracy of your points balance.

A user may have their account terminated or points reduced if we determine or discover the use of any type of automated system such as a bot to generate clicks, shares or plays. U•Seek actively monitors user gameplay and will take action against cheaters to ensure fair play for all participants.

11. Termination Of Your Program Account

You may cancel your account at any time by notifying Customer Service at support@useek.com Cancellation of your account will be effective not later than thirty (30) days after you submit your request, during which period you may still obtain points and redeem rewards.

We reserve the right, in our sole discretion, to suspend or terminate your account, to remove or refuse to award rewards/points, or cancel rewards associated with your account, for any reason at any time including if we have a reasonable belief that: (1) points or rewards were improperly obtained or obtained fraudulently. (2) you have violated these Program Terms or the U•Seek Terms of Use, including, without limitation, opening or maintaining multiple accounts or engaging in fraudulent activity to obtain or redeem points; or (3) you have otherwise abused or tampered with this Program. In addition, we reserve the right to suspend or terminate your account if you have not completed any actions qualifying for points for twelve (12) consecutive months.

When an account is cancelled or terminated for any reason, any and all point balances, redeemed rewards, or other benefits associated with the account, will be forfeited or cancelled effective as of the date of such termination.
